Parties and scope
These terms govern the use of the Memoris Translate, Memoris Dictate and Memoris Ambient services (the "Service"), provided by Memoris Clinical (Memoris Clinical; "Memoris"), by the healthcare institution using the Service (the "Institution") and the people the Institution invites ("Users"). Where a signed service agreement between the Institution and Memoris differs from these terms, the signed agreement prevails. Products in development can be used only once they have been expressly enabled for the Institution.
Accounts and access
Accounts are opened only by invitation from an Institution administrator; there is no self-registration. Users keep their credentials confidential, do not let anyone else use their account, and report any suspected unauthorized access to the Institution and to Memoris without delay. The Institution sets the role and facility scope of its Users and ends their access when needed. Memoris may suspend an account it considers a security risk, informing the Institution.
Nature of the Service
The translations, transcripts, report drafts and SOAP notes produced by the Service are drafts for decision support. The Service does not diagnose, does not recommend treatment and does not make clinical decisions. Every output is reviewed and approved by a qualified healthcare professional before clinical use or before it is shared with a patient; that review is the Institution's responsibility. Scanned documents may contain OCR errors, speech recognition may mishear, and translation may shift meaning; the Service flags doubtful segments but does not undertake to catch all of them.
Institution obligations
The Institution is responsible for establishing the legal basis for processing clinical content, informing patients and obtaining the necessary consents, selecting and authorizing its Users, reviewing outputs before clinical use, and using the Service in accordance with applicable law. No real patient data is uploaded to demo accounts or test environments.
Acceptable use
The Service is used only for the Institution's own clinical and administrative activities. Users do not offer the Service to third parties, reverse-engineer it, attempt to bypass its security measures, attempt to access other institutions' data, or use it to process unlawful content. Quotas and rate limits apply at Institution level.
Data protection and confidentiality
For clinical content the Institution is the controller and Memoris the processor; the conditions of processing are set out in the Data Processing Statement. Account and security data is governed by the Privacy Policy. Memoris does not use clinical content for model training without the Institution's written permission.
Intellectual property
The Service, its software, interface and documentation belong to Memoris; the Institution receives a non-exclusive, non-transferable right to use the Service for the term of the agreement. Content the Institution uploads, and the outputs the Service produces from it, belong to the Institution; Memoris has only the limited right to use that content and those outputs as needed to provide the Service. The Institution's terminology glossaries belong to the Institution.
Provision of the Service and changes
Memoris aims to provide the Service with care and without interruption; planned maintenance is announced in advance. Features may be developed or changed; the removal of a feature is announced to the Institution with reasonable notice. Service level commitments, where agreed, are set out in the service agreement. Products in development are provided for evaluation and are taken into clinical use only with the Institution's separate approval.
Fees
Fees, quotas and payment terms are set in the service agreement with the Institution. Demo accounts are free of charge and limited in time.
Limitation of liability
Memoris is not liable for consequences arising from the clinical use of outputs that have not been reviewed. Memoris is not liable for loss of profit or similar indirect damages. Memoris's total liability in any contract year is limited to the total fees the Institution paid to Memoris in the last 12 months. Cases of intent and gross negligence, and any liability that the law does not allow to be limited, are excluded from this limitation.
Suspension and termination
Memoris may suspend access, informing the Institution, in the event of a breach of these terms, a security risk or late payment. Either party may terminate in accordance with the notice periods in the service agreement. On termination, the return and deletion of clinical content follow the retention and deletion section of the Data Processing Statement.
Governing law and disputes
These terms are governed by the laws of the Republic of Türkiye. The courts and enforcement offices of Istanbul (Çağlayan) have jurisdiction over disputes. In the event of a discrepancy between the Turkish and English texts, the Turkish text prevails.
Changes and contact
Memoris may update these terms; the current version and its date are published on this page. Changes that materially affect the Institution are announced to Institution administrators by email at least 30 days in advance. Questions: privacy@memorisclinical.com.
